1. About Us

BD Best Practices Ltd (“we”, “us”, “our”) provides professional sales training, digital programmes, coaching, and related services.

By purchasing or accessing our services, you agree to these Terms.


2. Services

Our services may include:

  • Online digital courses

  • Live training sessions

  • 1:1 coaching or advisory services

  • Downloadable materials and frameworks

Most programmes are purchased following a strategy call.

All services are provided for professional development purposes. We do not guarantee specific commercial outcomes except where expressly set out under an applicable ROI Guarantee.


3. Payments

Fees are payable upfront prior to commencement of services, subject to statutory cancellation rights where applicable.

Payment plans may be offered at our discretion but are not guaranteed. Where a payment plan is agreed, the full programme fee remains payable and all instalments must be paid when due.

Failure to complete instalments may result in suspension or termination of access.

Payments are processed securely via third-party providers. We do not store payment details.


4. Client Responsibilities

By engaging our services, you agree to:

  • Participate in good faith

  • Attend scheduled coaching sessions (where applicable)

  • Complete assigned modules and action items within required timeframes

  • Provide accurate and honest information when requested

  • Remain responsible for executing strategies and decisions

You acknowledge that you are solely responsible for all commercial, employment, quota, and revenue outcomes arising from your participation.


5. Performance Baseline & Target Definition (Where Applicable)

Where performance improvement is discussed:

  • Your baseline performance must be declared in writing prior to commencement.

  • We may request reasonable evidence to verify baseline performance.

Any performance target is measured against your declared baseline and assessed solely against closed-won revenue attainment toward your assigned quota during the agreed measurement period.


6. ROI Guarantee (Where Applicable)

Where expressly agreed in writing, a conditional ROI Guarantee may apply.

The guarantee is strictly subject to:

  • Full compliance with programme requirements

  • Completion of required actions and modules

  • Accurate and truthful disclosure of performance data

If eligibility criteria are met and the agreed performance target is not achieved within the defined measurement period, we may refund fees paid.

Such refund constitutes your sole and exclusive remedy in relation to the guarantee.

The ROI Guarantee is void upon termination for any reason.


7. Intellectual Property

All materials, frameworks, templates, and content remain the intellectual property of BD Best Practices Ltd (or its licensors).

You are granted a non-transferable, non-exclusive licence for your own professional development during the engagement term and course access period only.

You may not:

  • Resell, reproduce, or redistribute materials

  • Use materials for internal training programmes

  • Create derivative commercial products

  • Share login access

Unauthorised use may result in termination and legal action.


8. Confidentiality & Testimonials

Each party agrees to keep confidential any non-public information shared during the engagement.

We may request testimonials and may use:

  • Testimonials provided by you

  • Anonymised results or learnings

for marketing purposes.

We will not publish your name, employer, or identifying details without prior consent.


9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is capped at the fees paid by you in the six (6) months preceding any claim.

  • We are not liable for indirect, consequential, or economic losses, including loss of profit, commission, or opportunity.

Nothing limits liability where it cannot lawfully be excluded.


10. Termination

We may terminate access immediately if you:

  • Materially breach these Terms

  • Fail to engage in good faith

  • Provide false or misleading information

No refunds are due upon early termination except where required by applicable law.


11. Entire Agreement & Non-Reliance

These Terms constitute the entire agreement between the parties and supersede prior discussions or representations.

You acknowledge that you have not relied on any statements, representations, or marketing materials other than those expressly set out in these Terms.

References to performance outcomes in marketing materials or sales conversations are indicative only and subject to the conditions and limitations set out herein.

Nothing in this clause limits liability for fraud or fraudulent misrepresentation.


12. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
